According to the information provided on 16.12.2019 by the Tender Offer intermediary BM PKO BP, the Calling Party, i.e. ZAP Sznajder Batterien S.A., purchased by way of  the Tender Offer 206,184 shares of the shares of Orzeł Biały (hereinafter: The Company).

Orzeł Biały S.A. hereby gives notice that in connection with the entry into force of the new provisions from the Act of August 9, 2019 amending the tax on goods and services Act and some other acts dated November 1, 2019, all payments made by The Company based on purchase invoices shall be processed under the split payment mechanism mode regardless of the type of good or service.

At the same time, the notice is given that Orzeł Biały S.A. will make payments to contractors conducting business activities only to their company accounts included in the list of entities registered as VAT payers, unregistered as well as deleted and restored to the VAT register, i.e. in The White List.

The Management Board of Orzeł Biały S.A., pursuant to Art. 77 Para. 5 of the Public Offering Act, hereby submits the contents of the tender offer to subscribe for the sale of the shares of The Company.

On October10th, The Company in the cooperation with State Fire Service will conduct fire drills (planned start: 10:00 am).

he Management Board of Orzeł Biały S.A.  hereby announces that on 07.10.2019 it received a letter from the representative of PineBridge New Europe Partners II-A, L.P.  and NEF Battery Holdings S.a.r.l. with its registered office in Luxembourg informing about the notification on the same day, i.e. on 7.10.2019, to the Seller by ZAP Sznajder Batterien S.A.  on the fulfillment of the condition for concluding the final agreement regarding the sale to The Buyer of 100% shares in the share capital of the Shareholder, being in the form of the approval of the President of UOKiK, Polish Office of Competition and Consumer Protection, of October 3, 2019 to carry out the concentration involving indirect takeover by The Buyer of the control of The Issuer.

On October 7, 2019 in Warsaw, an international conference 30 Years of Cleaner Production – towards Circular Economy was held under the honorary patronage of the Ministry of Entrepreneurship and Technology, the Chief Inspectorate for Environmental Protection, Global Compact Network Poland and the Federation of NOT Scientific and Technical Associations.

The Management Board of Orzeł Biały S.A. (“The Issuer”, “The Company”) hereby announces that on 30.09.2019, pursuant to the decision of the District Court in Gliwice, 10th Commercial Division of the National Court Register, the merger of The Issuer was done with its subsidiary Speedmar spółka z ograniczoną odpowiedzialnością with its registered office at Piekary Śląskie.

The Issuer notified earlier stages of the merger process with Current Reports nos: 19/2019 of 17.07.2019, 22/2019 of 31.07.2019, 23/2019 of 01.08.2019, 27/2019 of 26.08.2019 and 28/2019 of 05.09.2019.

The merger took place through the takeover of Speedmar spółka z ograniczoną odpowiedzialnością [limited liability company] by The Issuer, without increasing The share captal of the Issuer, in accordance with Art. 515 § 1 of KSH (Commercial Companies Code).

On the day of entering the merger into the Companies Register of the National Court Register, The Issuer took upon all rights and obligations of Speedmar Speedmar spółka z ograniczoną odpowiedzialnością [limited liability company], which, as a result of the merger, will be deleted from the Companies Register.

The merger is consistent with the adopted strategy of The Company consisting primarily in focusing on its core business. The merger will translate into simplified organisational structure and accomodates increasingly higher expectations and compliance standards.

• Net profit of Orzeł Biały Group amounted to PLN 5.8 million.
•  In the area of core business operations, the volume of refined lead sold was 34.2 thousand metric tonnes and remained stable.

The Management Board of Orzeł Biały S.A. in connection with the merger proceedings of The Company with Speedmar sp. z o.o., hereby makes public the second notification for the shareholders about the merger intention (attached).

The Issuer informed about merger proceedings in  Current Report No. 23/2019 dated 01.08.2019, Current Report No. 22/2019 dated 31.07.2019 and Current Report No. 19/2019 dated 17.07.2019.

Based on the resolution of the Management Board of Orzeł Biały S.A. with its registered office at Piekary Śląskie (41-946) at ul. Harcerska 23, entered into the Register of Entrepreneurs of the National Court Register carried with the District Court in Gliwice, 10th Commercial Division of the National Court Register under KRS 0000099792 of July 31, 2019, the Management Board of The Company hereby announces by giving public notice, in accordance with Art. 500 § 2 (1) of the Commercial Companies Code  Act of 15 September 2000 (and thus withdrawing from the announcement in Monitor Sądowy i Gospodarczy) that on July 31, 2019 the merger plan of Orzeł Biały S.A. with its registered headquarters at Piekary Śląskie with Speedmar sp. z o.o. with its registered headquarters at Piekary Śląskie was agreed, accepted and signed. • The Group’s EBITDA (earnings before interest, taxes, depreciation and amortization) amounted to PLN 29.7 million, thus resulting in profitability at 4.5%.
• Net profit of Orzeł Biały Group amounted to PLN 14.6 million
• In the area of ​​core business operations, the volume of refined lead sold was PLN 70.3 thousand metric tons (MT) and remained stable

Acting in accordance with the adopted Policy and the procedure for selecting an audit firm to audit the statutory financial statements and consolidated financial statements of Orzeł Biały S.A., the Supervisory Board of Orzeł Biały S.A. submits an inquiry for a selection of an audit firm to audit the statutory financial statements and consolidated report of Orzeł Biały S.A. for 2019-2020.

ORZEŁ BIAŁY GROUP has been consistently pursuing the upward trend in financial results over the past few years. After 9 months of 2018, the Group earned a record EBITDA of PLN 28.4 million (up 8.3% y-o-y) which was influenced by the cost-effective structure of raw materials used for production. Q3 2018 saw the Group finishing with EBITDA (excluding one-off events) at PLN 7.9 million.

• Orzeł Biały Group profit on operating activities amounted to PLN 5.6 million without taking into account the impact of the subsidiaries control recovery settlement at PLN (-1.2 million) and excluding the write-off for bad debts in the amount of PLN 1.7 million. Incrementally for 9 months of 2018, there was an increase of 13.9% y-o-y reported.
• Net profit of Orzeł Biały Group in the third quarter of 2018 amounted to PLN 2.9 million. At the same time, incrementally for 9 months, it amounted to PLN 15.3 million, up 17.7% y-o-y.
• The volumes of refined lead sold in the third quarter of 2018 amounted to PLN 15,500 mt. In turn, for 9 months it amounted to 50,000 mt.

ORZEŁ BIAŁY GROUP completed the first half of 2018 with the EBITDA figure understood as earnings on operating activities before depreciation/amortisation at the level of PLN 20.8, up 40.5% y-o-y, mainly due to favourable cost structure of raw materials used for production.

•  Orzeł Biały Group profit of on operating activities amounted to PLN 16.2 million., up 62% y-o-y
•  Net profit of Orzeł Biały Group amounted to PLN 12.4 million and was almost twice as high as the result achieved in the same period last year.
•  In the core business area, the volume of refined lead sold in the first half of 2018 amounted to PLN 34.5 kt, up 2.1% y-o-y.

ORZEŁ BIAŁY GROUP completed the first quarter of 2018, with the EBITDA result understood as earnings on operating activities before depreciation/amortisation at the level of PLN 8.4 million, which represents an increase of 117% as compared to the same period last year, mainly due to favourable cost structure of raw materials used for production.

• Orzeł Biały Group profit on operating activities amounted to PLN 6.1 million and was 4 times higher than that in the same period last year.
• Net profit of Orzeł Biały Group amounted to PLN 5.4 million, while the corresponding period of the previous year saw the loss at PLN 0.8 million.
• In the area of ​​core operations, the volume of refined lead sold in the first quarter of 2018 amounted to 16.6 kt.

On April 26, 2018, the Ministry of Environment in Warsaw held a festive Cleaner Production and Circular Economy Conference during which Cleaner Production diplomas and certificates were handed out.

Orzeł Biały Group, Polish producer of refined lead and lead alloys with international reach, generated revenues of PLN 677.1 million in 2017 as compared to PLN 537.3 million in the same period last year.

• Group EBITDA (operating profit before depreciation/amortisation) in 2017 amounted to PLN 33.9 million, up 21.3% as compared to the previous figure.
• Net result of Orzeł Biały Group amounted to PLN 15.9 million, up 238.3% as against 2016.
• In the area of ​​core operations, the volume of refined lead sold in 2017 amounted to PLN 70.3 kt (up 7.1% y-o-y).
  

March 9, 2017 saw Orzeł Biały S.A. having the representatives of the Chief Inspector of Environmental Protection (CIEP) and of the Provincial Inspectorate for Environmental Protection PIEP) in Katowice, headed by Mr Tadeusz Sadowski, Silesian Provincial Inspector of Environmental Protection. The visit was related to the issue of an  import waste permit, and its purpose was to review installations for recycling of lead batteries.

The Management Board of Orzeł Biały S.A. (“The Company”) encloses the contents of the announcement of the convening of the Extraordinary General Meeting of Orzeł Biały S.A., which will be held on 25.01.2018 at 11.00 am at the corporate headquarters at Piekary Śląskie. In the attachment, the Company also submits draft resolutions along with justifications, planned amendments to the  Articles of Association of the Company and the draft harmonised wording of the Articles of the Company.

At the same time, the Management Board of the Company informs that on 18.12.2017 the Supervisory Board submitted a positive opinion on the contents of resolutions to be deliberated on by the Extraordinary General Meeting.

Orzeł Biały ended the third quarter of 2017 with an EBITDA figure at PLN 11.3 million (up 91.5% as compared to the same period of last year). The achieved result was mainly due to the increase in lead prices and a further increase in the sales volumes, compounded by the cost-effective structure of raw materials used for production. The Group continued its strategy focusing on its core business.

• EBITDA of the Group (operating profit before depreciation/amortisation) amounted to PLN 11.3 million in the third quarter of 2017, up 91.5% y-o-y, and, incrementally, a PLN 26.2 million increase in 9 months (up 41, 6% y-o-y). The profitability rate measured as EBITDA to sales revenues amounted to 6.6% in the third quarter and 5.3% in 9 months of 2017, respectively.
• Operating profit amounted to PLN 8.8 million in the third quarter and PLN 18.9 million. cumulatively in 2017, up 144.4% and 61.5%, respectively, in comparison to the previous year.
• In the area of ​​core business, the volume of lead sold in the third quarter amounted to 18.0 thousand mt (up 14.8% y-o-y) and 51.8 kt cumulatively (up 12.0% y-o-y).
• Net profit in the third quarter amounted to PLN 6.7 million versus PLN 1.2 million of net profit a year ago. Incrementally, Orzeł Biały Group earned a net result of PLN 13 million as against PLN 7.2 million in 2016.

Orzeł Biały Group, Polish producer of refined lead and lead alloys with international reach, generated revenues of PLN 324.8 million in the first half of 2017, compared to PLN 241.1 million in the corresponding period of the previous year, up 34.7%. y-o-y, which is mainly caused by the increase in LME lead prices and the increase in the sales volumes.

• Group EBITDA (operating profit before depreciation/amortisation) in the first half of 2017 amounted to PLN 14.8 million, up 17.5% y-o-y. Net profit amounted to 6.3 million PLN as compared to PLN 6.1 million of the after-tax profit figure a year ago.
• Operating profit amounted to PLN 10 million, up 23.5% versus the corresponding period of the previous year.
• In the area of ​​core operations, the volume of lead sold in the first half of 2017 amounted to 33.8 thousand mt, up 10.5% y-o-y.
