Appointment of Members of the Supervisory Board of Orzeł Biały S.A

The Management Board of Orzeł Biały S.A. (hereinafter: “the Company”) informs that on 20.06.2024 the Ordinary General Meeting of Shareholders passed resolutions, by which it was established that the Supervisory Board of the new XIIth term would consist of 5 members.

The members of the Supervisory Board of the Company of the new term were elected in the following persons:

Michał Hulbój,
Iwona Jakubowska,
Michał Mielniczuk,
Tomasz Sankowski,
Adam Zdrojewski.


All appointed Members were members of the Supervisory Board of Orzeł Biały S.A. XI term.

According to the declarations submitted, the newly appointed Members of the Supervisory Board do not carry out activities competitive to the Company Orzeł Biały S.A., nor do they participate in a competitive company as a partner in a civil partnership, partnership, or capital company, nor do they participate in a competitive legal person as a member of its body.

According to the declarations submitted, Mr. Michal Mielniczuk and Mr. Michal Hulbój meet the requirements for an independent member of the Supervisory Board.

According to the statements submitted, Mr. Adam Zdrojewski, Mr. Tomasz Sankowski and Ms. Iwona Jakubowska do not meet the requirements for an independent member of the Supervisory Board.

The newly appointed Members of the Supervisory Board are not listed in the Register of Insolvent Debtors, maintained pursuant to the Law on the National Court Register, nor are they listed in the National Register of Debtors, maintained pursuant to the Law on the National Register of Debtors dated December 6, 2018.

§ 5.5 of the Ordinance of the Minister of Finance dated March 29, 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
