Based on the resolution of the Management Board of Orzeł Biały S.A. with its registered office at Piekary Śląskie (41-946) at ul. Harcerska 23, entered into the Register of Entrepreneurs of the National Court Register carried with the District Court in Gliwice, 10th Commercial Division of the National Court Register under KRS 0000099792 of July 31, 2019, the Management Board of The Company hereby announces by giving public notice, in accordance with Art. 500 § 2 (1) of the Commercial Companies Code  Act of 15 September 2000 (and thus withdrawing from the announcement in Monitor Sądowy i Gospodarczy) that on July 31, 2019 the merger plan of Orzeł Biały S.A. with its registered headquarters at Piekary Śląskie with Speedmar sp. z o.o. with its registered headquarters at Piekary Śląskie was agreed, accepted and signed. •  Net profit of Orzeł Biały Group amounted to PLN 2.5 million.

ORZEŁ BIAŁY GROUP has been consistently pursuing the upward trend in financial results over the past few years. After 9 months of 2018, the Group earned a record EBITDA of PLN 28.4 million (up 8.3% y-o-y) which was influenced by the cost-effective structure of raw materials used for production. Q3 2018 saw the Group finishing with EBITDA (excluding one-off events) at PLN 7.9 million.

• Orzeł Biały Group profit on operating activities amounted to PLN 5.6 million without taking into account the impact of the subsidiaries control recovery settlement at PLN (-1.2 million) and excluding the write-off for bad debts in the amount of PLN 1.7 million. Incrementally for 9 months of 2018, there was an increase of 13.9% y-o-y reported.
• Net profit of Orzeł Biały Group in the third quarter of 2018 amounted to PLN 2.9 million. At the same time, incrementally for 9 months, it amounted to PLN 15.3 million, up 17.7% y-o-y.
• The volumes of refined lead sold in the third quarter of 2018 amounted to PLN 15,500 mt. In turn, for 9 months it amounted to 50,000 mt.

ORZEŁ BIAŁY GROUP completed the first half of 2018 with the EBITDA figure understood as earnings on operating activities before depreciation/amortisation at the level of PLN 20.8, up 40.5% y-o-y, mainly due to favourable cost structure of raw materials used for production.

•  Orzeł Biały Group profit of on operating activities amounted to PLN 16.2 million., up 62% y-o-y
•  Net profit of Orzeł Biały Group amounted to PLN 12.4 million and was almost twice as high as the result achieved in the same period last year.
•  In the core business area, the volume of refined lead sold in the first half of 2018 amounted to PLN 34.5 kt, up 2.1% y-o-y.

• Orzeł Biały Group profit on operating activities amounted to PLN 6.1 million and was 4 times higher than that in the same period last year.
• Net profit of Orzeł Biały Group amounted to PLN 5.4 million, while the corresponding period of the previous year saw the loss at PLN 0.8 million.
• In the area of ​​core operations, the volume of refined lead sold in the first quarter of 2018 amounted to 16.6 kt.
